Oxfordshire lawyer to be Prosecuted by SDT for AML Concerns

The SRA has referred an Oxfordshire a lawyer to the Solicitors Disciplinary Tribunal for prosecution. The Tribunal certified that there is a case to answer in respect of allegations which include that the lawyer :- 1. Between around January 2020 and July 2022, failed to keep and maintain accurate accounting records for the Firm.  2. From around January 2020 to July 2022, caused or allowed a client account shortage on the Firm’s client account.  3. From June 2017 to around October 2022, failed to have in place:  3.1 An AML Firm Wide Risk Assessment (‘FWRA’) as required by Regulation 18 of the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (‘MLRs 2017’); 3.2 Anti-money Laundering Policies, Controls and Procedures (‘AML Policies’) as required by Regulation 19 of the MLRs 2017.  4. AML Firm-wide Risk Assessment: No1 Document

The foundational document when is comes to AML compliance is the AML firm-wide risk assessment. It is often described as the keystone of money laundering compliance in a law firms. Once a well drafted AML firm-wide risk assessment (FWRA) is in place the remainder your AML policies and procedures, training and due diligence will flow from it. The Money Laundering Regulations 2017 sets out five key areas for the FWRA to focus on – clients, geographic, products and services, transactions, and delivery channels but there are many other elements that need to be considered. Regulation 18A of the money laundering regulations also requires firms to identify the risk of proliferation financing. This can either be considered separately or within the AML firm-wide risk assessment. AML Audit Case Study (1)

During a routine AML audit the legal regulator practice to be non-compliant. This was due to the absence of a firmwide risk assessment and an updated AML policy and procedure, insufficient staff training on AML, and the MLRO not having completed enhanced AML training. The practice received written notice, providing two weeks to rectify the mentioned deficiencies. Failure to do so would result in disciplinary measures and perhaps fines. Within the specified period, the law firm addressed the issues by submitting a compliant AML policy , an AML firmwide risk assessment , and documentation showing AML training for both the MLRO and relevant staff members.

AML compliance during SRA crackdown

Recent SRA AML audits reveals a pattern of non-compliance with AML obligations among many firms. With this concern in focus, the SRA is contemplating fixed penalties for non-compliance. Law firms must now review and update AML processes diligently to avoid disciplinary measures, reputational harm, and hefty penalties. This comes at a time when the SRA are carrying out an extensive and ongoing programme of audits into firms’ AML compliance. This includes desk-based AML assessments as well as targeted, in-depth onsite inspections. If the firm should take on the relevant client or matter. Example support call to AML Helpdesk

Law firm (sole practitioner CQS accredited) calls with AML concerns about a potential client. The client had a significant sum of money in an overseas account which was not in the client’s name. The firm made further enquiries with the client regarding the funds and requested additional evidence to satisfy source of funds/wealth requirements. The practitioner, also the MLRO, was advised of the current AML requirements of the Anti-Money Laundering & Combating Terrorist Financing Code and Money Laundering Regulations 2017. It was concluded that as the prospective client was unable to provide the practice with satisfactory source of funds/wealth evidence and therefore they would be unable to act for the client in this matter. The practice was of the opinion that as the instruction was outside the usual remit of their source of work as per their firmwide risk assessment , they would not act on this matter and thus ended the retainer.

AML Supervision Report Issued

The long awaited final HM Treasury Anti-money laundering and counter-terrorist financing: Supervision Report: 2022-23 has been issued, noting that the most common breaches in the legal sector. The government’s annual supervision report for the financial year 2022-23 offers a timely insight into the activities of the UK’s 25 anti-money laundering supervisors including the SRA during a period of transformation. Some of the conclusion reflect Lexsure’s experience conducting independent AML audits and advising law firms, were inadequate documented AML policies and procedures, inadequate CDD procedures, inadequate client matter risk assessment or records and no or inadequate firm-wide risk assessments . Firm Fined for Inadequate FWRA

The Solicitors Regulation Authority (SRA) assault on firm for breaches of anti-money laundering (AML) rules has continued, with Raegal Limited being fined £1,520 (an amount equivalent to 2.4% of its gross annual domestic turnover for the last financial year). On top of this an order of £1,350 was made for costs. The penalty was due to the the failing to prevent its client account from being used as a banking facility and failing to comply with the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (MLRs 2017). In April 2023, the SRA commenced a forensic AML audit into the firm. On 16 January 2024, a forensic investigation officer prepared a report which identified concerns surrounding the use of the firm’s client account and the firm’s compliance with the MLRs 2017. SRA Fines Essex Firm 24k

The SRA continues to levy large fines on regulated firms who have been in long-term breach of their obligations under the 2017 money laundering regulations. It is not clear whether the decision stems from an SRA AML Audit having been carried out. Fairhurst Menuhin & Co in Essex was fined £23,930, 2% of its turnover and close to the maximum the SRA can hand out, for not having proper AML policies, controls and procedures in place between 2017 and 2022. In addition, the firm failed to carry out adequate client/matter risk assessments on six files, while it received funds on account on four matters before completing customer due diligence. Its mitigation was co-operation with the SRA and having “some arrangements in place for managing the risk of money laundering prior to August 2022, including staff training and email reminders regarding ID/AML checks”. SRA AML Audit Results in £23k fine

A CQS accredited firm operating from two small offices in the south west has been hit with a £23,000 fine for failing to comply with AML regulations. Lexsure has announced a tenfold increase in weekly enquiries concerning their AML audit solutions since this fine was announced. CQS firm Batchelor Sharp was issued with the sanction – almost the maximum the SRA can impose – despite there being no evidence any harm caused. It is not clear whether the firm had an adequate CQS AML Policy . The SRA said it had carried out a desk-based AML audit at the firm March 2023 to assess compliance with the regulations from 2017. Five conveyancing matter were found with no client matter risk assessments (CMRA). The firm accepted it had not completed any such CMRAs on files prior to March 2023. The SRA said the breach of AML regulatory obligations had persisted for ‘longer than was reasonable’ and demonstrated a ‘pattern of non-compliance’. Should CQS firms Own a Search Company ?

Let’s broaden the question, should any conveyancing practice also own their own search company? I came across the following wording recently in some Ts and Cs: Depending on the transaction, we may use one of several search companies. One of the search providers, {xxxxx} Limited, is a wholly owned subsidiary of {xxxxxx}, the parent company of {name of law firm}. Thus it is part of our group of companies. You are not obliged to use that search provider. If you have any concerns about this please contact us. In a compliance environment where regulators are focusing their attention on cost transparency one might question whether such behaviour is acceptable. Whist the firm does make the position clear in their Terms and Conditions, is this acceptable? How is this in the interest of the underlying client? At the very least, I would have thought that the firm should be clear about the ‘markup’.

Personal Searches: When ‘Yes’ means ‘No’

Kensington Mortgage just changed their Part 2 requirements to 5.4.5 of the Lenders Handbook. The section addressed whether the lender accepts personal searches and, if yes, what are their requirements? The previous answer was: No, we do not accept all personal searches without limitations. Our requirements as to personal searches are as set out in paragraphs 5.4.7 bullet one and two of Part 1. Personal searches are carried out at the solicitors’ own risk provided adequate insurance is in place. How do the SRA decide which CQS firms to inspect?

The SRA adopt a risk-based approach to AML supervision. The SRA visits a greater number of firms classified as high risk, while also conducting visits to low and medium-risk firms. It is important to note that a visit does not automatically imply that your firm is deemed high risk for potential money laundering activities. To determine the firms the SAR classify as high risk they assess the pertinent sections of the Office of Professional Body Anti-Money Laundering Supervision (OPBAS) source book, which can be found at this link . The regulator may also utilise the information within their possession regarding firms as they assess their level of risk. Nevertheless, the classification of a firm as high risk is not determined by a single factor. Your firm will be asked, as part of the audit, for your AML Policy. CQS firms should have a policy as part of their Core Practice Management Standard policies.

Sanctions risk assessment: What is involved?

Is is considered best practice to align a firm-wide sanctions risk assessment with the requirements of the MLR2017. These regulations outline several risk factors that should be taken into account. They include: your firm’s clients Regions or locations where your services are conducted Offerings or services provided by your firm Transactions conducted by your company The methods through which your firm delivers its products and services The risk assessment must align with the scale and scope of your practice, considering any factors that may influence risk, such as: number of staff areas of work geographic location of offices supervisory structure – this might, for example, include whether your firm works remotely, whether you have overseas offices, and what level of oversight senior staff have of fee earners. Whatever you decide, if your firm is CQS accredited, make sure you update your CQS AML Policy

Sanctions regime – Why firm-wide risk assessments are a must

The firm-wide risk assessment serves the crucial purpose of identifying potential vulnerabilities to breaches of the regime and exploring ways to mitigate these risks. Although the sanctions regime is characterised by strict liability rather than risk-based, implementing this framework aids in the identification of emerging risks and facilitates the adoption of preventative measures. The Office for Financial Sanctions Implementation (OFSI) has stated that despite the strict liability regime, it intends to adopt a risk-based enforcement approach. In the event of a breach, the implementation of preventive measures is expected to offer significant mitigation. Having a firm-wide risk assessment is crucial for developing appropriate policies, controls, and procedures. LMS Lender Panel Fee Increase

LMS are set to increase the current £25 plus VAT per completion charge to £35 plus VAT for all instructions received on or after 1st March 2024 Instructions received prior to 1st March 2024 will continue to be paid at the current rate. All LMS lender panels remain free to join at the point application and no charge is applicable on cases that do not reach legal completion. Leeds Building Society – Shared Ownership Mortgage Requirements

Leeds Building Society conveyancing panel should be aware that it is a standard offer requirement that Leeds Building Society receives a copy of the Housing Association consent to their mortgage BEFORE funds are released. This lender policy requirement is missed by some firms (CQS or otherwise). Firms need ensure that this is submitted before the eCOT is prepared as funds will not be released until the consent is received and this may result in a delay to completion. CQS accredited firms may wish to update their Dealing with Lender Policy template.

Skipton Sets New BSA Requirements

Skipton Building Society have made a number of recent changes to their P2 Handbook instructions. In answer to the question ‘Does the lender have any specific instructions about building safety?’ the new instructions are as follows: ‘Our Offer has been made on the basis that the building is of a construction type (i.e. traditional masonry) such that there are no fire risks identified which relate to the provisions of the Building Safety Act 2022, Or, i. An EWS1 certificate has been provided with an A1, A2 or B1 rating confirming no remediation works are required; or ii. A Fire Risk Appraisal of External Walls in accordance with PAS 9980 (FRAEW) has confirmed that no remediation is required; or iii. New Nationwide’s CHAPS fees

  Nationwide Building Society conveyancing panel lawyers should note that the lender has recently updated their CHAPS fee as follows: • For any products reserved on or before 28th November 2023 a CHAPS fee of £20 will be deductible from the loan amount • For any products reserved on the 29th November 2023, no CHAPS fee will be applied. • For any products reserved on or after 30th November 2023 a CHAPS fee of £15 will be deductible from the loan amount. CQS Client Care Policy – Pledges

Not all CQS Client Care policy templates contain ‘Pledges’. This may be due to the fact that such a policy is internal. I came across a policy to review last week that contained the following assurances: As a CQS accredited firm we will: Provide conveyancing services in a welcoming and comfortable setting. Provide flexible appointment schedules. Establish the expected level of service with clients beforehand. Advocate for clients’ best interests. Maintain a professional demeanor at all times. Demonstrate respect and courtesy in all interactions. Ensure fair treatment of all clients. Communicate openly and honestly. Offer clear and comprehensible legal guidance to clients. Are referral fees to Estate Agents ‘Unethical’ ?

A recent article in the Australian press ( found here ) seems to be equally relevant to the UK conveyancing market. Are referral fees unethical businesses or an important marketing tool? Real estate agents receiving fees for referring conveyancers could create conflicts of interest, one legal expert said. The Queensland Law Society’s senior counsel on ethics Shane Budden believes the issue has grown to the point where many real estate agents won’t recommend a solicitor for conveyancing work without getting paid. “The feedback from [QLS] members is that a lot of real estate agents are now basically demanding a referral fee,” he said. “I think there’s some risk involved [for] the real estate agents … because, really, they should only be referring a matter because they feel that the lawyer is great.”

CQS Dealing with Lender Policy – Confidentiality

A firm’s CQS Dealing with Lender Policy must specifically address the issue of confidentiality. Upon reviewing a recent audit, I came across the following policy language: “It is imperative to give special attention to the duty of confidentiality when the Firm is representing both a borrower and a lender simultaneously. The Firm must thoroughly consider the implications if there are any changes in the purchase price or if it becomes aware of any other information that the lender would reasonably consider important in determining whether or on what terms to provide the mortgage advance. In such circumstances, the duty to act in the best interests of the lender necessitates the transmission of such information to the lender with the consent of the borrower. If the buyer does not consent to the information being shared with the lender, a conflict* arises between the Firm’s duty of confidentiality to the borrower client and the duty to act in the best interests of the lender. At first instance the latest HMLR dealing with lender policy seems like a helpful initiative. Don’t be fooled though. There is a sting in the tail. HM Land Registry has recently initiated the provision of direct access to application data for lenders. This access allows them to view the status of all mortgage security registration applications by entering their unique reference, also known as an ‘MD’ reference, into the system. Mike Harlow, deputy chief executive and director of customer and strategy at HM Land Registry, emphasized, “Lenders are keen to ensure that their mortgages are duly registered or in the process of being registered. The CQS Risk Management Policy and Risk Register

Firms accredited with the Law Society conveyancing mark must adhere to strict guidelines, including the implementation of a comprehensive CQS Risk Management Policy and the maintenance of a detailed risk register. It is considered best practice for the risk register to be categorised into strategic, financial, operational, compliance, and breaches (both material and non-material), with all relevant information being captured accordingly. Furthermore, accredited firms are obligated to conduct an annual review of their CQS Risk Management Policy to ensure its ongoing effectiveness. Lender Updates Leasehold Policy

MPowered Mortgages are the latest lender to update there P2 policy relating to leasehold. In a change to 5.14.9 the lender’s new requirements states: “If the proposed security is a new, qualifying long residential leasehold property, covered by the obligations laid down in the Leasehold Reform (Ground Rents) Act 2022 you must check: that the ground rent is no more than “one peppercorn per year” or “peppercorn rent”; and that there are adequate provisions for repairs, maintenance, insurance etc. and an adequate maintenance charge. If the proposed security is not a new, qualifying long residential leasehold property within scope of the Leasehold Reform (Ground Rents) Act 2022: Peppercorn or low ground rents are acceptable. The 2022 version of the CQS Core Practice Management Standards (CPMS) mandates that CQS firms establish a policy addressing client care (s6.1). So what does a CQS Client Care Policy Include?
